Welcome to Kelt (“the App”). By downloading, accessing, or using Kelt, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the App.
1. Acceptance of Terms
By creating an account or using any feature of Kelt, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Description of Service
Kelt is a mobile application that allows users to track precious metals portfolios, browse marketplace listings, view market data, read news, and connect with other precious metals enthusiasts and dealers. Kelt acts solely as a platform and does not participate in, facilitate, broker, or guarantee any transactions between users.
3. Eligibility
You must be at least 18 years of age to use Kelt. By using the App, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for all activity that occurs under your account.
5. User Conduct
You agree not to:
- Use the App for any unlawful purpose or in violation of any applicable law or regulation;
- Post false, misleading, or fraudulent listings or information;
- Harass, threaten, or intimidate other users;
- Attempt to gain unauthorized access to other users’ accounts or the App’s systems;
- Use the App to distribute spam, malware, or other harmful content;
- Manipulate or misrepresent market data, pricing, or product authenticity.
6. Marketplace and Transactions
Kelt provides a platform for users to list precious metals for sale or trade and to communicate with other users. Kelt is not a party to any transaction between users. All transactions, negotiations, exchanges, and communications are conducted solely between the participating users. Kelt does not verify, authenticate, appraise, or guarantee the quality, legality, safety, or authenticity of any items listed on the platform.
7. Assumption of Risk and Release of Liability for In-Person Exchanges
BY USING KELT, YOU ACKNOWLEDGE AND AGREE THAT ANY IN-PERSON MEETINGS, EXCHANGES, TRANSACTIONS, OR INTERACTIONS ARRANGED THROUGH OR FACILITATED BY THE APP ARE UNDERTAKEN ENTIRELY AT YOUR OWN RISK.
KELT, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS (COLLECTIVELY, “KELT PARTIES”) SHALL NOT BE LIABLE FOR ANY LOSS, INJURY, DEATH, DAMAGE, THEFT, ROBBERY, ASSAULT, FRAUD, OR ANY OTHER HARM OF ANY KIND — WHETHER PHYSICAL, EMOTIONAL, OR FINANCIAL — ARISING OUT OF OR IN CONNECTION WITH ANY IN-PERSON MEETING, EXCHANGE, OR TRANSACTION BETWEEN USERS, REGARDLESS OF WHETHER SUCH MEETING WAS ARRANGED, SUGGESTED, OR FACILITATED THROUGH THE APP.
This includes, but is not limited to:
- Robbery, theft, or armed robbery during or related to an in-person exchange;
- Physical assault, injury, or harm of any nature;
- Fraud, misrepresentation, or deception by another user;
- Receipt of counterfeit, stolen, or misrepresented goods;
- Loss of or damage to precious metals, currency, or personal property;
- Any criminal activity occurring before, during, or after a meeting arranged through the App.
YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH MEETING OTHER USERS IN PERSON AND HEREBY RELEASE, WAIVE, AND FOREVER DISCHARGE THE KELT PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES, AND EXPENSES (INCLUDING ATTORNEYS’ FEES) ARISING OUT OF OR RELATING TO ANY IN-PERSON INTERACTION WITH ANOTHER USER.
Kelt strongly recommends that users take appropriate safety precautions when conducting in-person exchanges, including but not limited to: meeting in well-lit public locations, bringing a companion, conducting exchanges at local police station safe-trade zones, and never disclosing your home address.
8. Dealer Directory
Kelt provides a directory of precious metals dealers for informational purposes only. Inclusion in the directory does not constitute an endorsement, recommendation, or guarantee by Kelt. Kelt does not verify the credentials, licensing, reputation, or business practices of any listed dealer. Users interact with dealers at their own risk.
9. Market Data and Pricing
Spot prices, market data, charts, and related information displayed in the App are provided for informational purposes only and may be delayed or inaccurate. Kelt does not guarantee the accuracy, completeness, or timeliness of any market data. Nothing in the App constitutes financial, investment, or trading advice. You should consult a qualified financial advisor before making any investment decisions.
10. AI Features
Kelt may offer AI-powered features including but not limited to price analysis, market sentiment, and collection insights. These features are provided for informational and entertainment purposes only. AI-generated content may contain errors or inaccuracies. Kelt does not guarantee the accuracy of any AI-generated information, and such content should not be relied upon as financial or investment advice.
11. Intellectual Property
All content, features, and functionality of the App — including but not limited to text, graphics, logos, icons, images, and software — are the exclusive property of Kelt and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the App without prior written consent.
12. User-Generated Content
By posting listings, reviews, messages, or other content on Kelt, you grant Kelt a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such content in connection with operating and promoting the App. You represent that you own or have the right to post all content you submit.
13. Privacy
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the App, you consent to the practices described in the Privacy Policy.
14. Disclaimer of Warranties
THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KELT DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE KELT PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF KELT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL LIABILITY OF THE KELT PARTIES EXCEED THE AMOUNT YOU HAVE PAID TO KELT, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
16. Indemnification
You agree to indemnify, defend, and hold harmless the Kelt Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any transaction or interaction with another user.
17. Termination
Kelt reserves the right to suspend or terminate your account at any time, with or without cause and with or without notice. Upon termination, your right to use the App will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to Sections 7, 14, 15, 16, and 18.
18. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of California.
19. Changes to Terms
Kelt reserves the right to modify these Terms at any time. We will notify users of material changes through the App or via email. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.
20. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
21. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kelt regarding your use of the App and supersede all prior agreements and understandings.
